THIS AGREEMENT (the â€Å"Agreement†) entered into this ________ day of __________ 2017 by and between JAVA GROUP CO. (hereinafter referred to as the â€Å"JAVA†), and MEMORIAL HEALTHCARE SYSTEM d/b/a SOUTH BROWARD HOSPITAL DISTRICT, (hereinafter referred to as the â€Å"MEMORIAL†). 1. JAVA shall be set up and operate a Coffee Kiosk/Cart (the â€Å"Kiosk†) on the inside of the MEMORIAL and Off-site premises located in Broward County, Florida. The space will be located at the Memorial’s Main Lobby or MEMORIAL’s Break Rooms at Offsite locations. The space for the Kiosk set forth herein may be changed by mutual writing agreement by both parties. The Kiosk will provide espresso based drinks, flavored coffees and baked goods as well as the items listed on†¦show more content†¦The payments or invoices for each month’s sales shall be made by the 15th day of the following month. At the time the payments or invoices are made, JAVA shall provide MEMORIAL with a copy of the daily receipts for the Kiosk for the preceding month for which payment or invoice is made. The MEMORIAL shall have the right upon reasonable notice and at reasonable times to audit the books and the records of JAVA to determinate the appropriateness of all payments made to it under the terms of this agreement. b. Each month the amount to be paid to MEMORIAL locations at Main Lobby’s shall not be less than $ 500.00 (six hundred dollars) nor more than $ 2,500.00 (two thousand five hundred dollars) 7. JAVA shall provide, at no charge, catering services to MEMORIAL two (2) times per year. Such catering services shall include up-to twenty (20) people per session. 8. JAVA will have a monthly â€Å"Volunteer Appreciation Day† on the last Friday of each month, where volunteers at MEMORIAL who present appropriate identification shall receive a thirty percent (30%) discount on all food items purchased. 9.
